onsemi Junior Corporate Paralegal in Scottsdale, Arizona
We are looking for a junior corporate paralegal/assistant to join our Corporate, M&A and Securities team! This is a hybrid position based in our Scottsdale, Arizona office. Prior administrative or paralegal office experience preferrable but we are willing to train the right candidate.
Essential Duties Include:
Assist with the preparation and filing of reports with the SEC and NASDAQ, including periodic reports (Forms 10-K, 10-Q and 8-K), and annual proxy statements;
Assist in reviewing, organizing and managing M&A files and documentation;
Assist with various corporate governance support responsibilities, including preparation and distribution of board and committee notices, agendas, resolutions and meeting minutes;
Processing preclearance forms for company insiders, processing and tracking 10b5-1 plans and other support functions associated with maintaining, updating and enforcing certain internal policies administered by the law department, including the company’s Insider Trading Policy;
Assist with Section 16 filings for our directors and executive officers and maintain SEC EDGAR codes for the company and its directors and executive officers;
Assist with managing our domestic and international corporate subsidiaries;
Assist our intellectual property attorneys and paralegals from time to time as needed;
Perform various administrative tasks, including scheduling meetings and webinars, mail sorting and distribution, preparing overnight shipping labels, indexing and filing closing documents for credit agreements, retention and destruction of law department documents, and proofreading and editing;
Contribute to organizational, process and procedural review and changes to increase departmental efficiency;
Other administrative tasks as needed from time to time.
